These Terms & Conditions ("Terms") govern your access to and use of CityDealers (https://citydealers.in/), including our website, mobile apps, and any related services (together, the "Platform"). By creating an account, browsing listings, posting an advert, or otherwise using the Platform, you agree to these Terms. If you don't agree, please don't use the Platform.

1. What CityDealers Is — and Isn't

CityDealers is a classifieds and multivendor marketplace that connects buyers and sellers in Uganda. For most listings ("adverts"), we simply provide the space for a seller to advertise and a buyer to make contact directly — we are not a party to that transaction, and payment/handover happens between the buyer and seller themselves.

For listings marked as multivendor "products" with an in-platform checkout, we additionally provide escrow-style payment handling: the buyer's payment is held until they confirm delivery, at which point it is released to the seller. Even then, CityDealers is a facilitator of that payment flow, not the seller of the goods — the seller remains solely responsible for the item's description, quality, and condition.

2. Who Can Use the Platform

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or post a listing.
• You must provide accurate information when registering, and keep your account details (including your phone number and WhatsApp number, where provided) up to date.
• You're responsible for keeping your account credentials secure and for all activity that happens under your account.
• One person or business should not operate multiple accounts to evade suspensions, promotional limits, or package restrictions.

3. Posting Listings

• You must have the right to sell or advertise whatever you list, and your listing must accurately describe the item or service, its condition, and its price.
• Photos, videos, and 360° images you upload must be your own or ones you have the right to use, and must genuinely represent the item being sold.
• Prices should be listed honestly. Deliberately misleading pricing (e.g. to manipulate search ranking) is not allowed.
• We may remove, edit, unpublish, or decline to publish any listing that violates these Terms, is reported by other users, or that we reasonably believe is fraudulent, unsafe, or illegal — with or without prior notice.

4. Prohibited Listings & Conduct

The following are never allowed on the Platform: illegal goods or services; counterfeit or stolen items; weapons, ammunition, or explosives; illegal drugs or controlled substances without proper licensing; items that infringe someone else's intellectual property; content that is fraudulent, defamatory, obscene, or discriminatory; and any attempt to scam, phish, or otherwise defraud another user.

You also agree not to: scrape or harvest data from the Platform; attempt to bypass our security, rate-limiting, or anti-spam measures; impersonate another person or business; or use the Platform to send unsolicited bulk messages.

5. Payments, Escrow & Refunds

Where a purchase goes through our in-platform checkout (multivendor "product" listings):

• Your payment is held securely until you confirm receipt of the item, or until an automatic release occurs after a set confirmation window if you don't respond.
• If there's a genuine problem with your order (item not as described, not delivered, etc.), you can open a dispute before confirming — our team will review the evidence from both sides and decide on a refund, release, or partial resolution.
• For Cash on Delivery orders, payment is made directly to the courier on handover; the platform reconciles this with the seller separately.

For plain "advert" listings without in-platform checkout, all payment arrangements are made directly between buyer and seller — CityDealers is not responsible for those payments and strongly recommends meeting in safe, public locations and inspecting items before paying.

6. Membership Packages & Promotions

• Paid packages unlock benefits such as additional listing slots, promoted/featured placement, and other perks described on the package at the time of purchase.
• Only one package can be active at a time. Buying a different package while one is active will replace it; buying the same package again while it's still active extends/renews it rather than creating a duplicate.
• Package and promotion fees are generally non-refundable once the benefit has started being applied (e.g. a listing has been featured), except where required by law or at our discretion.

7. Courier & Delivery Services

Where you choose to use our courier network for delivery, the courier is an independent service provider, not an employee of CityDealers. We facilitate the connection and provide tracking/notification tools, but sellers and buyers remain responsible for accurately describing pickup/delivery details and for the condition of items handed to a courier.

8. Reviews & Ratings

Reviews must reflect a genuine transaction or interaction. Fake reviews, review manipulation, or offering incentives in exchange for positive reviews are not allowed and may result in account suspension.

9. Messaging & Communication

Our in-platform chat and courier notifications exist to help you communicate about listings and orders. Please don't use them for spam, harassment, or to share content that would otherwise violate these Terms.

10. Intellectual Property

The CityDealers name, logo, and platform design are our property. By posting content (listings, photos, reviews, etc.), you grant us a non-exclusive, royalty-free license to display, distribute, and promote that content on and in connection with the Platform (including on social media, where our optional auto-publishing feature is used).

11. Account Suspension & Termination

We may suspend or terminate your account, with or without notice, if you violate these Terms, if we suspect fraudulent or harmful activity, or if required by law. You may also close your account at any time from your account settings.

12. Disclaimers & Limitation of Liability

The Platform is provided "as is." We do our best to keep it reliable and secure, but we don't guarantee it will always be available, error-free, or uninterrupted. To the fullest extent permitted by law, CityDealers is not liable for indirect, incidental, or consequential damages arising from your use of the Platform, disputes between buyers and sellers, or the actions of independent couriers.

Nothing in these Terms limits any liability that cannot legally be limited under the laws of Uganda.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Platform or applicable law. We'll update the "Last updated" date above when we do. Continuing to use the Platform after changes take effect means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes arising from these Terms or your use of the Platform will be subject to the jurisdiction of the courts of Uganda.
